When to get in touch

How the work runs

  1. Introductory call

A conversation about your business and the deal, to establish what needs reviewing and what needs drafting.

  2. Review or draft

Liron reviews the draft you received, or drafts a new agreement that fits the transaction.

  3. Negotiation

Support in talks with the other side, in Hebrew or English, until the wording is agreed.

  4. Signing and after

The agreement is signed, and you can come back to her with questions that arise later on.

Liron Segev brings years as Legal and General Counsel at hi-tech and international companies, and as a director of private and public companies. Besides her law degree she holds a B.A. in business administration with a major in finance, and she has been a member of the Israel Bar Association since 1999. A boutique office: personal attention throughout, in Hebrew and English.

Frequently asked questions

Should a lawyer review a contract the other side drafted?

Yes. Whoever drafts the agreement usually sets the starting point. A review before signing shows you what the agreement actually says and lets you ask for changes while that is still possible.

What is the difference between a distribution agreement and a rep agreement?

A distributor usually buys the product and resells it itself. A sales rep finds customers and earns a commission, while the sale is made directly by your company. The difference affects liability, pricing and how the relationship can end.

Does the office handle deals with companies outside Israel?

Yes. Liron works in Hebrew and English. In a cross-border agreement it also matters which country's law applies and where any dispute will be decided.

What is a BMBY clause?

BMBY (buy me, buy you) lets partners separate. One side names a price for the other's share, and the other side either sells at that price or buys at it. It suits companies with two shareholders or two main groups, in case of deadlock.

Do I need a written agreement with a regular supplier?

It helps both sides know what was agreed: price, timelines, liability and what happens when something goes wrong. Even with a long-standing supplier, that can prevent disputes later.
